You may obtain the forms for notifications with respect to your interests in Units in Yuexiu REIT from the website of The Hong Kong Stock Exchange Limited (“Stock Exchange”) at www.hkex.com.hk. The website of Stock Exchange also contains directions and instructions for completion of the notification forms. Alternatively, you should consult your professional advisers on how to fill in the notification forms. References in the forms, directions and instructions to shares in the listed corporation should, where the context so admits, be read as references to Units in Yuexiu REIT. Please note that the Manager is not in a position to advise on individual cases

You should submit the notification forms to the Manager under the Trust Deed by fax (fax number (852) 25196473, for the attention of Mr. Terry Kwan or e-mail (tau.nancy@yuexiureit.com). You will receive a confirmation from the Manager after the notification form is properly received.

Pursuant to the Trust Deed, the following notifications with respect to interests in Units in Yuexiu REIT have been received by the Manager:

All notifications with respect to interests in Units in Yuexiu REIT received by the Manager will be published on this website in the form actually received by the Manager pursuant to such notifications. The Manager takes no responsibility for the contents of any such notifications, makes no representation as to their accuracy or completeness and expressly disclaims any liability whatsoever for any loss howsoever arising from or in reliance upon any or all of the notifications published or to be published on this website.

Under the Trust Deed, if a person who has a duty of disclosure under the Trust Deed fails to make notification in accordance with the provisions of the Trust Deed, irrespective of whether or not that person is a holder of Units in Yuexiu REIT, the Units in Yuexiu REIT in which that person is or is deemed to be interested in (the “Affected Units”) shall be subject to any or all of the following actions which the Manager or the Trustee may, in its absolute discretion, take in respect of any or all of the Affected Units:

(i) declare the voting rights attached to any or all of the Affected Units to be suspended;

(ii) suspend the payment of any distributions in respect of any or all of the Affected Units;

(iii) impose an administrative fee of up to HK$0.10 per Affected Unit for each day of non-compliance (from the date on which disclosure is due to be made by the person); and/or

(iv) suspend registration and/or decline to register any transfer of part or all of the Affected Units,

until the relevant notification requirements are fully complied with to the satisfaction of the Manager or the Trustee (as the case may be).

Pursuant to the Trust Deed, each holder of Units in Yuexiu REIT and all persons claiming through or under him have expressly acknowledged and agreed to the grant of the rights and powers set out above to the Manager and the Trustee and have agreed to be bound by any action taken by the Manager or the Trustee (as the case may be) in accordance with the Trust Deed in good faith.
